1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ryan Labs ("Company," "we," "us," or "our") concerning your access to and use of our products and services, including ClinixPro, StitchDesk, and LaundryApp (collectively, the "Services").

Ryan Labs is a software company based in India providing digital solutions for clinics, boutiques, and laundry businesses.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features of our Services, you must register for an account:

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breaches
• We reserve the right to suspend or terminate accounts that violate these Terms

4. License and Permitted Use

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

4.2 Prohibited Uses

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble any part of the Services
• Copy, modify, distribute, or create derivative works based on the Services
• Use automated systems (bots, scrapers) to access the Services
• Transmit viruses, malware, or harmful code
• Interfere with or disrupt the Services or servers
• Resell, sublicense, or redistribute the Services without authorization

5. WhatsApp Business API Terms

Our Services integrate with WhatsApp Business API for communication purposes. By using this feature:

Ryan Labs acts solely as a technology platform provider and does not initiate communication independently. All messages are sent on behalf of the respective business (such as clinics, boutiques, or laundries) using our Services.

• You agree to comply with WhatsApp's Business Terms of Service and Commerce Policy
• You will only send messages to users who have opted in to receive them
• You are solely responsible for obtaining and maintaining valid user consent before sending any communications through WhatsApp.
• You will not send spam, unsolicited messages, or prohibited content
• Users may also initiate communication with the business, which constitutes consent to receive responses via WhatsApp.
• You understand that WhatsApp may restrict or ban accounts that violate their policies
• We are not responsible for WhatsApp's actions, policies, or service availability
• You must obtain all necessary consents from recipients before sending messages

6. Payment Terms

6.1 Fees and Pricing

You agree to pay all fees associated with your subscription plan. Prices are subject to change with 30 days' notice. All fees are non-refundable except as expressly stated in our Refund Policy.

6.2 Billing and Renewals

Subscription fees are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

6.3 Taxes

All fees are exclusive of applicable taxes (GST, VAT, etc.). You are responsible for paying all taxes associated with your purchase.

7. Data and Privacy

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy. You are responsible for ensuring that any customer or patient data you input into our Services complies with applicable privacy laws and regulations.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Ryan Labs or our licensors and are protected by intellectual property laws. You do not acquire any ownership rights by using our Services.

You retain all rights to the data you input into our Services. By using our Services, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Services to you.

9. Service Availability and Modifications

We strive to provide reliable Services, but we do not guarantee uninterrupted or error-free access. We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Services at any time
• Perform maintenance and updates that may temporarily affect availability
• Change features, functionality, or pricing with reasonable notice

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account cancellation feature. Upon termination, your access to the Services will cease at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without notice, if you violate these Terms or engage in fraudulent, abusive, or illegal activity. Upon termination, you must cease all use of the Services and we may delete your data in accordance with our data retention policies.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RYAN LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ryan Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ongole, Andhra Pradesh, India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

16. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms constitute the entire agreement between you and Ryan Labs regarding the Services.
